A. Primary Method: International Arbitration

C. Technical Expert Determination (For Product Disputes)

For disputes primarily concerning technical specifications, performance, or compliance of industrial control products, the parties may jointly appoint an independent technical expert in the field of industrial automation. The expert’s determination on technical matters shall be binding unless manifestly erroneous.

D. Class Action Waiver

YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. This waiver applies to class arbitration, class actions, private attorney general actions, and consolidation with other arbitrations.

E. Costs

Each party shall bear its own costs and expenses incurred in connection with any dispute resolution proceeding, including arbitration, except that the prevailing party in any arbitration or court proceeding shall be entitled to recover its reasonable attorneys’ fees and costs from the non-prevailing party.
